Acceptance of the Terms of Use

These Terms of Use are entered into by and between You and the Production Initiatives Association ("Company," "we," or "us"). If you do not agree with all of these Terms of Use, you must not access or continue to use the Website and you shall not be able to become a member of the association.

Furthermore, the Website does not knowingly solicit or collect information about children under the age of 13. Should we learn that we have inadvertently collected information about a child under the age of 13, that information will be deleted as soon as possible.

We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Website and all content on the Website may not be copied, reproduced, republished, uploaded, posted, transmitted, distributed, or otherwise used or displayed or used for creation of derivative works, without the user processing the required payment fee to Website.

You must not modify copies of any materials from this site, delete or alter any copyright, trademark, or other proprietary rights notices from copies or materials from this site.

Trademarks

The Company name, the terms and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on the Website are the trademarks of their respective owners.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website in any way that violates any applicable federal, state, local or international law or regulation. Nor to engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which as determined by us, may harm the Company or uses of the Website.

User Contributions

The Website may contain message boards that allow for user comments, chat rooms, live chat, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Website.

All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Website, you grant us and our affiliates the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

Content Standards

These Content Standards apply to any and all User Contributions and use of the Website and their services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations.

Without limiting the foregoing, User Contributions must not: contain any material that is defamatory, obscene, discriminatory, indecent, abusive, offensive, harassing, violent, hateful, or otherwise objectionable; promote sexually explicit or pornographic material violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person; violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy; promote any illegal activity, or advocate, promote, or assist any unlawful act; impersonate or misrepresent your identity or affiliation with any person or organization; be comprised of any false or misleading statements; involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising; and give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case (collectively “Content Standards”).

The content and all User Contribution shall not infringe on any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.

Monitoring and Enforcement; Termination

We have the right to take any action, including but not limited to revocation of membership on the Website, suspension or refusal of use, removal of any posts with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the Content Standards, any intellectual property right or other right of any person or entity, that threatens the personal safety of users of the Website or the public, or could create liability for the Company.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.

We care about data privacy and security. Please review our Privacy Policy, found here. Your acceptance upon entering the Website constitutes an agreement with the terms of use of our Privacy Policy.

Online Purchases and Other Payment Terms and Conditions

All purchases and payments are made through our Payment Portal for the sale of the Company’s memberships and services, which are governed by the terms and conditions of our third party processor, Stripe. Stripe’s terms and conditions can be found at https://stripe.com/legal. Payment shall be billed and taken automatically from member’s credit card or other source that have been provided for payment. Payment shall be taken either on a monthly or annual basis, depending on member’s plan.

The Company’s membership plans include the following services:

Individuals Plan: exclusive industry updates newsletter, eligibility for initiative member spotlight and a match with local volunteer opportunities. This plan is designed for independent professionals at no cost to the member.
Entrepreneur Plan: option to run for Finance Committee, one (1) member invitation for our Albany lobbying day, an invitation to monthly lobbyist luncheon and an option to host membership events. This plan is valid for twelve (12) months for someone with less than one (1) year in business, for a monthly price of Fifty Dollars ($50.00).
Small Business Plan: option to run for Finance Committee, one (1) member invitation for our Albany lobbying day, an invitation to monthly lobbyist luncheon and an option to host membership events. This plan is valid for twelve (12) months for someone with 1-29 employees and under 10MM annual billing, for a monthly price of One Hundred Dollars ($100.00).
Mid-Sized Business Plan: option to run for Finance Committee, one (1) member invitation for our Albany lobbying day, an invitation to monthly lobbyist luncheon and an option to host membership events. This plan is valid for twelve (12) months for someone with 30-99 employees and 10 MM – 24 MM annual billing, for a monthly price of Three Hundred Fifty Dollars ($350.00).
Large Business Plan: option to run for Finance Committee, one (1) member invitation for our Albany lobbying day, an invitation to monthly lobbyist luncheon and an option to host membership events. This plan is valid for twelve (12) months for someone with over 100 employees or 25 MM annual billing, for a monthly price of Five Hundred Dollars ($500.00).
Member Association Plan: option to run for Finance Committee, one (1) member invitation for our Albany lobbying day, an invitation to monthly lobbyist luncheon and an option to host membership events. This plan is valid for twelve (12) months for Unions, Associations, Guilds, etc., for a monthly price of Seven Hundred Fifty Dollars ($750.00).
Luminary Plan: logo on home page, dedicated blog post, two (2) members invitations from our Albany lobbying day, private meeting with lobbyist team and event recognition. This plan has an automatic annual renewal for an annual price of Ten Thousand Dollars ($10,000.00).
Visionary Plan: committee seat of their choice, logo on home page, dedicated blog post, three (3) members invitations from our Albany lobbying day, private meeting with lobbyist team and event recognition. This plan has an automatic annual renewal for an annual price of Fifteen Thousand Dollars ($15,000.00).
Futurist Plan: seat on Finance Committee, two (2) Committee seats of choice, logo on home page, dedicated blog post, four (4) members invitations for our Albany lobbying day, private meeting with lobbyist team and event recognition. This plan has an automatic annual renewal for an annual price of Twenty Five Thousand Dollars ($25,000.00).

The above fees do not include any additional payment required for taxes and service charges. We may revise and update these payment fees and terms for our services from time to time in our sole discretion. All changes are effective immediately when we post them.

Disclaimer of Warranties

TO THE FULLEST EXTENT PROVIDED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. YOU ARE RESPONSIBLE FOR THE SECURITY OF YOUR OWN COMPUTER AND NETWORK THAT YOU CHOOSE TO UTILIZE.

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. All members shall be notified of all material updates via email through HubSpot.

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. It is your responsibility to periodically review these Terms of Use to stay informed of updates.

Indemnification and Release

By agreeing to the terms of this Agreement, users of the Website agree to indemnify, defend and hold harmless the Company and its affiliates from and against any and all claims, loss, expenses or demand of liability, including attorney’s fees and costs incurred in connection with any claim by a third party arising out of (i) User Contributions posted or transmitted through the Website or (ii) use of the Website by you in violation of this Agreement or in violation of any applicable law.

By accepting the Terms of Use of the Website, you represent, understand and expressly agree to hold the Website and is affiliates harmless for any claim or controversy that may arise, any disputes between you and any other user of the Website.

Governing Law and Jurisdiction

This Agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of New York, without giving effect to any principles of conflict of laws. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to this Agreement or your use of the Website shall be filed only in the state or federal courts located in the State of New York, County of New York and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigation any such claim or action.

Responsibility of Website Visitors

We have not reviewed and cannot review, all of the material, including but not limited to posts with respect to any User Contributions made on the Website. We cannot be responsible for that material’s content use or effect. We ask that you maintain responsibility for taking the steps to keep the Company informed of any content or material that you believe contains errors, is inaccurate, questionable, objectionable and any content or material you believe does not comply with our Content Standards.
